Artificial Intelligence Addendum

This Artificial Intelligence (“AI”) Addendum (“AI Addendum”) is an integral part of, and is incorporated by reference into, the Master License and Professional Services Agreement between the applicable Kaltura entity (“Kaltura”) and the Licensee (as defined therein, as from time to time amended, renewed or supplemented (including any order forms, purchase orders, amendments, renewals, or service expansion issued thereunder, the “Agreement”). In the event of any conflict between the terms of this AI Addendum and the Agreement, the terms of this AI Addendum shall prevail solely with respect to the use of Kaltura AI Offering. Capitalized terms not defined in this AI Addendum have the meanings given to them in the Agreement.

This Addendum governs Licensee’s or User’s access to and use of:

  1. Any Kaltura offered AI features, including generative AI, conversational AI, Agents or otherwise, whether now or hereafter offered or in existence, either owned and developed by Kaltura or licensed through Third-Party Providers (collectively “Kaltura AI Offering”); and
  2. Use, publish and implementation of any Generated Output.

Please read these terms carefully. By using Kaltura AI Offering you agree to this AI Addendum. If you do not agree or do not have the authority on behalf of your organization to agree, you are not permitted to use Kaltura AI Offering. This AI Addendum constitute a legally binding contract between Licensee and Kaltura. This AI Addendum shall automatically apply to all future Agreements or services involving AI.

  1. DEFINITIONS

For the purposes of this Addendum, and in addition to the definitions set forth in the Agreement:

AI Agent” means an autonomous generative AI conversational (either in print, video or audio) avatar, AI agent that is created, configured, and deployed by Licensee through the Kaltura AI Offering. The AI Agent is assigned an overarching goal and utilizes agentic AI technology to iteratively communicate, plan, prioritize, and execute both predefined and emergent subtasks with minimal (or no) human intervention. AI Agent is powered in part by one or more Third-Party Providers.

Credits” means the usage units purchased by Licensee or User that are consumed when using the Kaltura AI Offering, as further described in the Payment Section below or in the applicable Order Form.

Generated Output” means any part of Publisher\License\User Content (as defined in the Agreement) generated through the Kaltura AI Offering, including, results, content, video, images and data, and including information generated by the AI Agent in response to Inputs, during a communicative interaction with the User.

Input(s)” means any data, content, text, audio, documentation, image, video, or information submitted, uploaded, or otherwise provided by or on behalf of Licensee or Users (including through Licensee’s system integration) to the Kaltura AI Offering (including instructions and Licensee prompts) including to the extent applicable through communication channels.

Kaltura AI Technology” means any instruction, decision, recommendation, configuration, processing, conversational AI technology, prompt engineering, fine tuning, source coding of Third-Party Providers, machine learning models, LLMs, model weights, trained model, machine learning algorithms and parameters, predictions, automation code or action initiated or executed by KalturaAI Offering and AI Agent, which is based on Kaltura’s engineering and, where applicable, fine-tuning code, source code, checkpoints and prompt engineering.

Knowledge Source” means any data, content, video, audio, image, or text submitted, transmitted or uploaded by Licensee or User, or otherwise made available through. Kaltura AI Offering, that is used as the knowledge source and knowledge string queried by the AI Agent.

Licensee Service Data” means the call recordings, chat correspondence history, video footage, as applicable, logs, Inputs and Outputs, automated by the Kaltura AI Offering and hosted by Kaltura on Licensee’s behalf.

Output(s)” means any data, content, or material generated by the Kaltura Offering in response to Inputs, including synthetic voice and video outputs.

Third-Party Provider(s)” means applications, platforms, AI models (pre-trained models, trained models), generative AI systems and models, voice models (including both TTS and STT models), technologies, large language models (“LLM”) providers, generative AI providers, machine learning models, automated decision-making technologies, natural language processing (NPL) tools, automatic speech recognition tools and providers (ARS), cloud infrastructure providers, and communication platforms, all as updated from time to time.

TTS”/”STT” means text to speech or speech to text, respectively.

Usage Data” means aggregated, anonymized analytical or telemetry data derived from the use of Kaltura AI Offering, used solely for performance optimization and service improvement. Usage Data shall not include non-public Generated Output and Knowledge Source.

  1. ACCESS TO AND USE OF THE KALTURA AI OFFERING
    • Kaltura grants Licensee a non-exclusive, non-transferable, non-sublicensable, and limited license to access and use the Kaltura AI Offering during the Term (as defined in the Agreement) solely for Licensee’s business purposes licensed for or authorized under the Agreement (“License”). Specifically, the License includes the right to: (i) use, configure, customize and monitor the AI Agent; (ii) view usage reports and monitor the AI Agent’s actions, including configuring notification preferences; and (iii) access support resources and AI related Documentation (as defined in the Agreement).
    • Licensee shall not, and shall not permit any third party, including any User, to: (i) use the Kaltura AI Offering in violation of any applicable law or regulation, including data protection or export control laws; (ii) use the Kaltura AI Offering to generate or disseminate false, misleading, or discriminatory content; (iii) input or upload any data or content that infringes third-party rights, contains personal data without proper authorization, or violates the Agreement; (iv) attempt to extract, reverse-engineer, or otherwise access any underlying model, algorithm, or system; (v) use the Kaltura AI Offering in a manner that could interfere with or degrade the performance, integrity, or security of the Hosted Services (as defined in the Agreement); or (vi) use the Kaltura AI Offering in a manner that violates the Responsible Use Policy available at https://corp.kaltura.com/legal/compliance/kalturas-artificial-intelligence-principles/ (the terms of which are hereby incorporate by reference; the “Responsible Use Policy”).
    • Licensee shall not, and shall not permit any third party, including any User, to use the Kaltura AI Offering, any Kaltura AI Technology, or any Output for any purpose that is classified as “high risk” under the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), as amended from time to time ( “AIA”), including, without limitation, to make, support, or determine decisions (including scoring, ranking, recommendations, or other evaluative assessments) about an individual’s access to, admission to, enrollment in, or evaluation by educational or vocational training institutions.
    • Licensee acknowledges that the Kaltura AI Offering may include offering powered or sourced from Third-Party Providers, which may include open source and other applicable licenses. Kaltura represents that the inclusion of such Third-Party Providers will not reduce the license rights granted to Licensee under this AI Addendum, nor will it restrict Licensee’s ability to use the Kaltura AI Offering in accordance with the applicable Documentation and Agreement. The integration or use of Third-Party Providers within the Kaltura AI Offering will not require Licensee to license its own software or products under any open source or similar license. Kaltura may use Third-Party Providers to provide, enhance, or support the Kaltura AI Offering. Kaltura will not be liable for any operational failure or unavailability of Third-Party Providers, including any failure to perform, discontinuation of service, or any other act or omission by such providers.
    • Kaltura may modify, suspend, or discontinue any Kaltura AI Offering or Third-Party Providers, provided that such changes do not materially degrade the overall functionality of the Kaltura AI Offering. Licensee is solely responsible for making any necessary adjustments to its systems as may be communicated by Kaltura, applications, or integrations to ensure continued compatibility with the current version of the Kaltura AI Offering.

 

  1. RESPONSIBILITIES AND OBLIGATIONS
    • Licensee shall be responsible for: (i) ensuring the accuracy, quality, integrity, and legality of all Inputs and Knowledge Source. Licensee acknowledges that the Generate Output is based on the Knowledge Source. Licensee is responsible and liable to ensure that Knowledge Source is lawful, does not infringe third-party rights (including intellectual property and privacy rights), accurate, true, up to date, consist of high quality, diverse, ethical information, and complies with the Responsible Use Policy; (ii) providing any technical data or other information reasonably required by Kaltura to deliver the Kaltura AI Offering; (iii) obtaining all necessary consents or providing required disclosures to Users as mandated by applicable law; and (iv) ensuring that its use of AI Agents and Inputs complies with applicable regulations (including, without limitations, AI disclosure requirements, communication disclosures concerning call recording, and data protection regulations) and specific sector regulatory requirements.
    • Licensee shall ensure that all Inputs comply with applicable law, do not infringe upon third-party rights, and are not unlawful, offensive, or otherwise prohibited under the Agreement or the Responsible Use Policy.
    • Licensee understands and acknowledges that Kaltura has implemented and will maintain appropriate monitoring, validation, and quality assurance procedures to ensure the safe, reliable, and professional operation of the Kaltura AI Offering, and will notify Licensee or User of any material issues, failures, or incidents that could affect the reliability, accuracy, or security of the Kaltura AI Offering as set forth in the Agreement or as reasonably required.
    • Notwithstanding the above, Licensee acknowledges that Outputs are subject to the Input and Knowledge Source, therefore the Licensee shall ensure such data is accurate and complete and that the Outputs are reviewed and validated by human.

 

  1. INTELLECTUAL PROPERTY AND OWNERSHIP
    • Licensee retains all ownership rights in the Inputs and Outputs, subject to Kaltura’s rights as set forth in this AI Addendum and the Agreement. Licensee hereby grants Kaltura a non-exclusive, worldwide, royalty-free license to use, process, and store the Inputs and Outputs as required under the Agreement, and additionally, as solely and to the extent necessary to provide, maintain, and improve the Kaltura AI Offering.
    • Kaltura and its licensors retain all rights, title, and interest in and to the Kaltura AI Offering, Usage Data, and Kaltura AI Technology, including all underlying models, algorithms, software, and related intellectual property. This includes any derivative works, such as fine-tuning, prompt engineering, or any other model created from or based on the Kaltura AI Offering, AI Agents, merged checkpoints, converted formats, trained model weights, and other elements such as source code (including inference code, evaluation code, and, if applicable, fine-tuning code), as well as any other materials associated with the Kaltura AI Offering (“Kaltura IP”).
    • If Licensee or any User provides Kaltura with suggestions, ideas, enhancement requests, feedback, recommendations, or other input regarding the Kaltura AI Offering (“Feedback”), such Feedback (other than the identity of the Feedback provider) is provided voluntarily and on a non-confidential, non-proprietary basis. Kaltura may use, disclose, reproduce, license, distribute, and otherwise exploit any Feedback without restriction and without any obligation or compensation to Licensee or User.

 

  1. DATA USE AND PRIVACY
    • Kaltura may use aggregated and anonymized data derived from Licensee’s use of the Kaltura AI Offering for internal analytics, performance optimization, and product improvement, provided such data cannot reasonably identify Licensee or Users. Any processing of personal data in connection with the Kaltura AI Offering shall be governed by the DPA incorporated into the Agreement.
    • Licensee is responsible for obtaining any necessary consent or providing required notices to Users or data subjects whose data may be processed through Kaltura AI Offering.

 

  1. PAYMENTS
    • Any use of the Kaltura AI Offering will operate either under current or explicitly specified subscription fees, or as free trial, or on a credit-based usage model, unless otherwise agreed in the applicable Order Form. Licensee shall purchase Credits as specified in the applicable Order Form. Credits are consumed when Licensee or User use the Kaltura AI Offering, and different types of interactions may consume different amounts of Credits. Specific Credit consumption rates detailed in the applicable Order Form.
    • Kaltura may update Credit consumption rates by providing Licensee with thirty (30) days’ prior written notice. Any changes will apply only to Credits purchased after the effective date of such change and will not affect Credits already purchased by Licensee.
    • Credits will be allocated to Licensee upon receipt of payment. Licensee may monitor Credit usage and balance through the Account. Licensee shall maintain up-to-date contact information to receive notifications regarding Credit usage. Payments shall be made by the method specified in the Order Form or as otherwise agreed by the parties.
    • Except as expressly provided in the Agreement or as required by applicable law, all Credit purchases are final and non-refundable, non-cancellable, regardless of whether the Kaltura AI Offering was used. Notwithstanding the above, Credits can be rolled over (in case of a Term execution) and are valid at all timed during the Term. Licensee may purchase additional Credits at any time during the Term at the then-current rates specified by Kaltura or as set forth in the respective Order Form.
    • If Licensee’s Credit balance is insufficient to complete requested action, the Kaltura AI Offering may be suspended or limited until additional Credits are purchased. Kaltura will not be liable for any interruption, limitation, or degradation of the Kaltura AI Offering resulting from insufficient Credits. Licensee may configure automatic Credit replenishment or purchase alerts through the Account.
    • If Licensee exceeds the permitted scope of use or Credit allocation purchased as detailed in the Order Form, Licensee may, at its sole discretion, purchase additional Credits through the Account. For clarity, Kaltura will not automatically purchase or debit additional Credits on Licensee’s behalf or charge Licensee for additional Credits unless and until Licensee purchases such additional Credits through the Account, at then-current rates
    • Credits have no cash value and cannot be exchanged for cash or any other form of consideration. Credits are non-transferable and may only be used by Licensee under the Account from which it was purchased. Credits may not be sold, transferred, assigned, or shared with any third party without prior written consent.
    • All fees and other amounts payable by Licensee under this Agreement are exclusive of taxes, levies, duties and assessments. Licensee is responsible (to the extent applicable) for payment of all sales, use and excise taxes, imposed by local governmental or regulatory authorities, except for Kaltura income taxes.

 

  1. DISCLAIMER, LIMITATION OF LIABILITY
    • Kaltura represents and warrants (collectively, the “Service Warranties”) that: (i) the Kaltura AI Offering will materially conform to the specifications and service level commitments described in the applicable SLA; and (ii) Kaltura has implemented, and will maintain, appropriate monitoring, validation, and quality assurance procedures to support the safe, reliable, and professional operation of the Kaltura AI Offering.
    • Licensee must notify Kaltura in writing of any alleged breach of the Service Warranties within ten (10) days of becoming aware of such breach. If Kaltura determines that a breach of warranty has occurred, Kaltura will promptly correct or re-perform the affected Professional Services at its own expense or correct the error within the Kaltura AI Offering subject to the SLA, which shall be the sole remedies and obligations with respect to the Kaltura AI Offering that fail to comply with the Service Warranties.
    • EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS ADDENDUM, THE KALTURA AI OFFERING, INCLUDING THE AI AGENT, API, OUTPUTS, AND ANY RELATED SERVICES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KALTURA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR ARISING FROM COURSE OF PERFORMANCE, DEALING, USAGE, OR TRADE. KALTURA DOES NOT WARRANT UNINTERRUPTED USE OR THAT THE KALTURA AI OFFERING WILL BE FREE FROM BUGS OR ERRORS. FURTHER, KALTURA EXPRESSLY DISCLAIMS ALL WARRANTIES AND LIABILITY ARISING FROM OR RELATED TO (I) INTEGRATIONS WITH LICENSEE’S SYSTEMS; (II) PUBLISHER/LICENSEE/USER’SCONTENT; AND (III) RELIANCE ON ANY OUTPUT OR DECISIONS MADE BASED ON SUCH OUTPUT.
    • Licensee acknowledges that Generated Outputs automatic and may contain inaccuracies or errors, and that Kaltura AI Offering may include bugs, omissions, or “hallucinations”. It is the sole responsibility of Licensee and Users to verify the accuracy and relevance of any responses generated by the Kaltura AI Offering. Kaltura makes no warranty or representation regarding the accuracy, completeness, or reliability of any Output. Further, as required under applicable laws, the Generated Output shall be labelled as “Generated by AI” or at least “AI” or as otherwise provided by Kaltura’s watermarks. The Licensee or User shall not tamper, reverse engineer or remove any mark or watermark or crypto signature disclosing the Generated Output is based or manipulated by AI, specifically Kaltura AI Offering.
    • Each party’s total aggregate liability for all claims arising out of or relating to this Addendum, shall not exceed the total credits or payments actually paid by Licensee or User under the applicable Order Form, specifically for the AI Systems during the twelve (12) months immediately preceding the event giving rise to the claim.
    • Except as expressly stated in this Agreement, neither Party shall be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages, including, without limitation, loss of profits, revenue, business, data, goodwill, or anticipated savings, arising out of or in connection with this Addendum or the use or inability to use the AI Systems, regardless of the cause of action or theory of liability (whether in contract, tort, including negligence, or otherwise), even if such Party has been advised of the possibility of such damages. The limitations set forth in this section shall not apply to a Party’s gross negligence, fraud, or willful misconduct.

 

  1. INDEMNIFICATION
    • The indemnification obligations set forth in the Agreement are limited with respect to use of the Kaltura AI Offering and do not include indemnification for intellectual property claims related to, or caused by, the Licensee’s use of the Kaltura AI Offering (not including claims that the Kaltura AI Offering by itself violates any third-party intellectual property right).
    • Licensee agrees to indemnify, to the same extent as set out in the Agreement, Kaltura for all claims that any Input(s) violate the provisions of Section 3.2 of this AI Addendum.
