Vendor Code of Conduct
Kaltura Vendor Code of Conduct
Kaltura is committed to operating in accordance with the highest standards of business ethics, and we expect the same from our vendors, contractors, agents, consultants, and their respective employees (each a “Vendor”). At a minimum, Vendors are required to comply with this Vendor Code of Conduct (the “Vendor Code”). To the extent this Vendor Code requires a higher standard than what is required by commercial practice or applicable laws, Vendors must adhere to these higher standards.
- Business Integrity and Ethics
1.1 Anti-Corruption.
Each Vendor must comply with all applicable anti-corruption laws and regulations in all countries where the Vendor does business. While local standards and practices may vary with respect to what is considered bribery, Kaltura’s policy can be summarized as follows: Vendors may not improperly provide (or offer to provide), directly or indirectly, anything of value to anyone to obtain or retain business, to obtain a commercial advantage, or to receive favored treatment, anywhere in the world. 1.2 Competition and Fair Dealing.
Vendors must deal fairly with their customers, suppliers, competitors, and partners. In particular, Vendors must not (a) take unfair advantage of anyone through manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or any other unfair practice, or (b) enter into any agreement, express or implied, that violates applicable anti-competition laws. In addition, Vendors must handle the nonpublic information of their customers, suppliers, competitors, and partners in accordance with all applicable legal and contractual obligations of confidentiality.
1.3 Conflicts of Interest
A conflict of interest is any activity, relationship, or interest that prevents, or that may be perceived to prevent, a Vendor from performing its duties to Kaltura in an honest, objective, and effective manner. Each Vendor must promptly disclose to Kaltura any actual or potential conflicts of interest.
1.4 Insider Trading
Vendors may, through their business relationship with Kaltura, have access to material nonpublic information about Kaltura and/or Kaltura’s customers. Vendors must not buy or sell securities while in possession of material nonpublic information or provide such information to others who might trade on it.
1.5 Books and Records
Vendors must maintain complete, accurate, and reliable books and records relating to their business dealings with Kaltura in accordance with applicable standard accounting practices.
1.6 International Trade and Export Compliance
Vendors must understand and comply with all applicable laws relating to international trade, including laws that restrict or otherwise require licensing for the export or import of certain goods, services, or technology to other countries or to certain entities, as well as laws that restrict dealings with countries, entities, and individuals subject to trade embargoes or economic sanctions.
- Human Rights and Employment Practices
2.1 Fair Employment Practices
Vendors must pursue fair employment practices in every aspect of their business and comply with all applicable labor and employment laws, including laws related to freedom of association, collective bargaining, privacy, employee compensation, and working hours.
2.2 Slavery and Human Trafficking
Vendors and their respective suppliers must not engage in slavery or human trafficking. All labor must be voluntary. Slavery includes any type of compelled, involuntary, or forced labor, including but not limited to labor performed by children, bonded labor, indentured labor, and prison labor. Vendors must also ensure that workers have the right to freedom of movement.
2.3 Harassment and Discrimination
Vendors must provide equal opportunity and fair treatment to all individuals on the basis of merit, without discrimination because of race, color, religion, national origin, sex (including pregnancy), sexual orientation, age, disability, veteran status, or other characteristic protected by law. Vendors must also prohibit harassment based on these characteristics in any form, whether physical or verbal and whether committed by managers, non-management personnel, or non-employees. If a Vendor receives any complaint about discrimination or harassment, the Vendor must investigate the complaint and take prompt corrective action where appropriate.
- Environment, Health, and Safety
3.1 Environment
Vendors must conduct their business and operate their facilities in compliance with all environmental laws, including laws and international treaties relating to waste disposal, emissions, discharges, and hazardous and toxic material handling. Vendors should also strive to conserve resources and reduce waste and emissions through recycling and other energy conservation measures. Vendors have a responsibility to promptly report any known or suspected violations of environmental laws or any events that may result in a discharge or emission of hazardous materials.
3.2 Health and Safety
Vendors must comply with all relevant health and safety laws and operate in a manner that protects the safety of their employees. In particular, Vendors must provide a safe, healthy, and sanitary working environment. Vendors must also take steps to prevent workplace hazards and work-related accidents and injuries.
3.3 Alcohol and Drugs
Vendors must maintain a drug-free workplace. All Vendor personnel must be prohibited under all circumstances from possessing, using, selling, or offering illegal drugs and other controlled substances while on duty or on the Vendor’s premises.
- Ongoing Compliance and Monitoring
Vendors must communicate the contents of this Vendor Code to any employees or third parties engaged to provide products or services to Kaltura, monitor performance on an ongoing basis to ensure compliance with this Vendor Code, and promptly report any violations or concerns to Kaltura.
4.1. Reporting Violations
Vendors should communicate any compliance concerns to their primary business contact at Kaltura. Vendors and their employees may also report any known or suspected violations of this Vendor Code through the Ethics Hotline available 24 hours a day, 7 days a week, by telephone at 877-900-3073 or on the Internet at www.whistleblowerservices.com/kltr. Reports may be submitted anonymously, and all reports of known or suspected violations of the law or this Vendor Code will be investigated. Vendors must not retaliate or take disciplinary action against any employees who has, in good faith, reported actual or suspected violations, or who has sought advice regarding this Vendor Code.
4.2 Audits.
Kaltura reserves the right to audit Vendor performance and/or investigate any alleged or suspected violation of this Vendor Code, and Vendors must cooperate with any such audit or investigation. Kaltura also reserves the right to terminate our business relationship with any Vendor who fails to comply with this Vendor Code.
